These Terms & Conditions apply to business-to-business (B2B) transactions only. SV Botanica does not sell to consumers. By requesting a quotation, placing an order, or purchasing from us, you confirm that you are acting on behalf of a business and accept these terms.

1. Definitions

In these Terms & Conditions: "SV Botanica", "we", "us", "our" means SV Botanica, a B2B exporter of natural ingredients based in India; "Customer", "you", "your" means the business entity purchasing or enquiring about our products; "Products" means the herbal extracts, natural oils, spices, oleoresins, and nutraceutical ingredients we supply; and "Order" means a confirmed purchase agreement between you and SV Botanica.

2. Scope and Application

These terms apply to all quotations, order acknowledgements, sales, and supplies of Products by SV Botanica unless varied by a separate written agreement signed by an authorised representative of SV Botanica. Where a signed supply contract or purchase agreement exists between the parties, that contract takes precedence over these terms to the extent of any conflict.

3. Quotations and Pricing

Quotations are provided on request and are valid for the period stated in the quotation, or for 30 days where no period is stated. All prices are quoted in the currency and on the Incoterms basis specified in the quotation. Unless stated otherwise, prices are exclusive of taxes, duties, levies, insurance, and freight charges, which are the Customer's responsibility according to the agreed Incoterms.

Prices for natural ingredients are subject to fluctuation based on crop seasonality, raw material availability, and market conditions. A quotation does not constitute a binding price until an Order is confirmed in writing by both parties.

4. Orders and Acceptance

An Order is binding only once SV Botanica issues a written order confirmation or proforma invoice and the Customer accepts it. We reserve the right to decline any order at our discretion, including where required raw materials are unavailable, where export to the Customer's destination is restricted, or where the Customer's account is not in good standing.

5. Minimum Order Quantities and Samples

Products are supplied subject to minimum order quantities (MOQs), which vary by product and are stated at the time of quotation. Pre-shipment samples are available on request and may be subject to sample and courier charges. Samples are provided for evaluation purposes; commercial-scale lots are produced to the agreed specification and may show natural batch-to-batch variation typical of botanical materials.

6. Payment Terms

Payment terms are agreed in writing for each Order and stated on the proforma invoice. Common terms include advance payment, letter of credit (L/C), or other arrangements as mutually agreed. All bank charges outside India are borne by the Customer unless otherwise agreed. Title to the Products passes to the Customer only upon receipt of full payment; risk passes according to the agreed Incoterms.

7. Delivery, Shipping and Incoterms

Delivery is made according to the Incoterms (Incoterms® 2020) specified in the order confirmation — for example FOB, CIF, CIP, or DAP. Delivery dates are estimates given in good faith and are not guaranteed. SV Botanica is not liable for delays caused by customs clearance, port congestion, carrier delays, regulatory inspection, or other factors beyond our reasonable control. The Customer is responsible for import clearance, duties, and any import licences or certificates required in the destination country.

8. Product Specifications and Quality

Products are supplied to the agreed specification and accompanied by a Certificate of Analysis (COA) where applicable. As natural and agricultural products, our ingredients may exhibit normal variation in colour, odour, moisture, and active-constituent content within specification limits. It is the Customer's responsibility to verify that the Product is suitable for its intended use and complies with the regulatory requirements of the destination market before resale or incorporation into finished goods.

9. Inspection and Claims

The Customer must inspect Products on receipt and notify SV Botanica in writing of any shortage, damage, or non-conformity within 14 days of delivery, providing supporting evidence such as photographs and, where relevant, independent laboratory results. Claims made after this period or for Products that have been further processed, repackaged, or commingled may not be accepted. Where a valid claim is established, our liability is limited as set out in Section 11.

10. Compliance and Export Controls

The Customer is responsible for ensuring that the import, sale, and use of the Products comply with all applicable laws and regulations in the destination country, including food-safety, novel-food, labelling, and contaminant-limit requirements. SV Botanica complies with applicable Indian export regulations. The Customer agrees not to re-export Products in violation of any applicable export-control or sanctions laws.

11. Limitation of Liability

To the maximum extent permitted by law, SV Botanica's total liability arising out of or in connection with any Order, whether in contract, tort (including negligence), or otherwise, is limited to the invoice value of the Products giving rise to the claim. SV Botanica is not liable for any indirect, incidental, special, or consequential loss, including loss of profit, loss of business, or reputational harm. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Intellectual Property

All content on this website — including text, graphics, logos, the SV Botanica name and leaf mark, product photography, and technical documentation — is the property of SV Botanica or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use this content for commercial purposes without our prior written permission.

13. Force Majeure

SV Botanica is not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to crop failure, natural disaster, fire, flood, epidemic or pandemic, war, civil unrest, strikes, government action, export or import restrictions, or transport and logistics disruption.

14. Governing Law and Jurisdiction

These Terms & Conditions and any Order are governed by and construed in accordance with the laws of India. Subject to any contrary provision in a signed supply contract, the courts of India shall have jurisdiction over any dispute arising out of or in connection with these terms. The parties may agree to resolve disputes by arbitration where specified in a separate written agreement.

15. Changes to These Terms

We may update these Terms & Conditions from time to time. The "Last updated" date at the top of this page reflects the most recent revision. The terms in force at the time an Order is confirmed apply to that Order.
